These Terms of Service ("Terms") govern your access to and use of the Sprusify platform ("Service") operated by Sprusify ("we", "us", or "our"). By installing or using the Service through Shopify, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of a business or entity. By using the Service, you represent that you meet these requirements.

2. Description of Service

Sprusify is an affiliate and referral management platform that enables Shopify merchants to manage affiliates, track referrals, calculate commissions, and process payouts.

3. Shopify Integration

The Service integrates with Shopify and requires access to certain store data to function. By using the Service, you grant us permission to access and process relevant Shopify data in accordance with our Privacy Policy.

4. Account Responsibilities

• You are responsible for maintaining the security of your account
• You are responsible for all activities under your account
• You must provide accurate and complete information
• You must notify us immediately of any unauthorized access

5. Acceptable Use

You agree not to:

• Use the Service for unlawful or fraudulent activities
• Interfere with or disrupt the Service or servers
• Attempt to reverse engineer or exploit the platform
• Upload malicious code or harmful content
• Misrepresent affiliate activity or manipulate tracking systems

6. Fees and Billing

Certain features of the Service require payment. Billing is handled through Shopify’s billing system unless otherwise specified.

• Fees are billed on a recurring basis (monthly or annually)
• All fees are non-refundable unless required by law
• You authorize us to charge fees via Shopify billing

7. Affiliate and Payout Responsibilities

Sprusify provides tools to manage affiliate programs, but you (the merchant) are solely responsible for:

• Setting commission structures
• Reviewing and approving affiliate activity
• Ensuring payouts are accurate and compliant with applicable laws

Payment processing services may be provided by third parties such as Stripe, and are subject to their respective terms.

8. Intellectual Property

All rights, title, and interest in the Service, including software, design, and branding, are owned by Sprusify. You are granted a limited, non-exclusive, non-transferable license to use the Service.

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws.

10. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms. You may terminate by uninstalling the app from your Shopify store.

Upon termination:

• Your access to the Service will be revoked
• Data may be deleted in accordance with our retention policies

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Sprusify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability shall not exceed the amount paid by you to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Sprusify from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

14. Modifications to the Service

We may modify or discontinue the Service at any time without liability. We may also update these Terms, and continued use of the Service constitutes acceptance of the updated Terms.
